TERMOCASA System® patent is not sold, but only LICENSED out for its commercial exploitation and for the exclusive use in the country where the Customer resides. It cannot be used in any other state nor assigned to other entities, without approval by the LICENSING SUPPLIER. Owing to the amount of investment and the time required to start up the manufacturing and selling of the housing units, the LICENSING SUPPLIER is ready to negotiate a payment schedule with the Customer, against actual bank guarantees, or to fund the entire supply amount according to terms and conditions to be duly assessed by the borrowing body to which the LICENSING SUPPLIER is going to apply. In either case, the Customer shall pay in advance to the LICENSING SUPPLIER a deposit corresponding to 30% of the total investment, including the cost of equipment and accessory expenses listed under Section 4 and 5. As to interest rates, those used on the financial markets shall apply. As a guarantee on the deposit received, the SUPPLIER shall issue an ADVANCE PAYMENT BOND to the Customer issued by primary Insurance Company. All the other formalities and conditions of the supply, payment terms or loan shall be specified in a specially stipulated agreement signed by both parties. Such agreement shall be the only valid document binding the parties by law. Furthermore, no exchange of letters, technical documents, or LETTERS OF INTENTS shall be deemed to be binding on either party to DO or PERFORM any action whatsoever. |
